1. Acceptance of These Terms

By accessing or using the Lemonade Apps website (the "Site") or installing and/or using Lemonade Apps software and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service.

2. Description of the Service

Lemonade Apps provides software products including cross-platform applications. Access to premium features may require an active paid subscription processed by our payment provider, Paddle.com Market Ltd. ("Paddle").

3. Licence Grant

Subject to payment of all applicable fees, 17645872 CANADA INC operating under the business name Inquisitive Owl Software grants you a non-exclusive, non-transferable, revocable licence to install and use Lemonade Apps software on one or multiple personal computers, for your internal purposes only.

4. Subscriptions, Billing & Renewal

Merchant of Record. All payments are handled by Paddle, who will appear on your statement. Paddle may collect and remit any applicable taxes on our behalf.

Billing Cycle. Subscriptions renew automatically at the end of each billing period (monthly) unless cancelled.

Cancellation. You may cancel anytime through the "Billing" Section in the desktop application or by emailing hello@lemonadeapps.ca. Access remains active until the end of the current paid term.

5. Acceptable Use

You agree not to: (a) reverse-engineer, decompile, or disassemble the software; (b) share licence keys; (c) use the Service to infringe third-party rights or applicable law; or (d) attempt to gain unauthorised access to our systems.

6. Intellectual Property

All content, source code, and trademarks are the property of 17645872 CANADA INC or its licensors. No rights are granted except as expressly stated in these Terms.

7. Third-Party Services

The Service may integrate with third-party APIs (e.g. Paddle, OpenAI, analytics). We are not responsible for the content or practices of those services.

8. Disclaimers & Limitation of Liability

The Service is provided "as-is" without warranties of any kind. To the maximum extent permitted by law, 17645872 CANADA INC operating under the business name Inquisitive Owl Software shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service.

9. Indemnification

You agree to indemnify and hold 17645872 CANADA INC operating under the business name Inquisitive Owl Software, its directors, employees, and affiliates harmless from any claims or damages arising from your breach of these Terms or misuse of the Service.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario.

11. Changes to These Terms

We may modify these Terms at any time by posting the updated version on the Site. Material changes will be notified at least 30 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.
